Because qualifying for SEIS (or the Seed Enterprise Investment Scheme) means your start-up becomes an even more attractive proposition to investors than it already was.<\/p>\n<p>And even if you are not launching right now but have done so within the past 20 months then SEIS is still for you &#8211; although you&#8217;ll have to move pronto to stay within the qualifying limits of having traded for less than two years.<\/p>\n<p>To dive further into this swimming pool of opportunity, Legal Geek spoke to four doyens of SEIS to gain their thoughts and advice: <a href=\"#profiles\">Genevieve Moore<\/a> from Blick Rothenberg, <a href=\"#profiles\">Tom Wilson<\/a> from Seedcamp, <a href=\"#profiles\">Jamie Whitcroft<\/a> from Passion Capital, and the taxman as well.<\/p>\n<h2><em><strong>Let\u2019s start at the beginning, what is SEIS?<\/strong><\/em><\/h2>\n<p><strong>Tom Wilson<\/strong>: In a nutshell, SEIS provides tax incentives for investors to invest in early stage companies. Companies can raise up to a maximum of \u00a3150,000 through the scheme but the money must be used within three years. For investors, 50% of the amount invested (on an annual limit of \u00a3100,0000 investment) can be used as an income tax reduction.<\/p>\n<p><strong>Genevieve Moore<\/strong>: Investors cannot be employed by your company, or associated to any of your employees (although there is a carve out for directors). Nor can any investor hold more than 30% equity in the company \u2013 for the purpose of calculating this, shareholdings of associates are taken into account, so often family are prohibited from qualifying on their investment, but friends will often qualify.<\/p>\n<h2><em><strong>Sounds great. Am I eligible to apply?<\/strong><\/em><\/h2>\n<p><strong>The Taxman (via the HMRC website)<\/strong>: You can apply if your company:<\/p>\n<ul>\n<li>Has been carrying out a qualifying trade (NB: tech-focused start-ups do qualify) for less than two years at the date of issue of the relevant shares.<\/li>\n<li>Is established in the UK (find out <a href=\"https:\/\/www.gov.uk\/guidance\/venture-capital-schemes-permanent-establishment\" target=\"_blank\" rel=\"noopener\">exactly how this is defined on HMRC\u2019s website<\/a>)<\/li>\n<li>Isn\u2019t trading on a recognised stock exchange at the time of the share issue \u2013 and has no arrangements to become a quoted company or a subsidiary of one at the time of the share issue<\/li>\n<li>Has gross assets of no more than \u00a3200,000 at the time of the relevant share issue<\/li>\n<li>Doesn\u2019t control another company unless that company is a qualifying subsidiary (find out <a href=\"https:\/\/www.gov.uk\/guidance\/venture-capital-schemes-apply-for-the-enterprise-investment-scheme#subsidiary\" target=\"_blank\" rel=\"noopener\">exactly how a qualifying subsidiary is defined on HMRC\u2019s website<\/a>)<\/li>\n<li>Isn\u2019t a member of a partnership<\/li>\n<li>Isn\u2019t controlled by another company, acting with or without other people &#8211; this applies from the date your company is incorporated<\/li>\n<li>The company must have fewer than 25 full time employees<\/li>\n<\/ul>\n<p><strong>Genevieve Moore<\/strong>: Know the rules and know its limits as well. Before you start receiving investment funds you should seek advance assurance from HMRC that the company qualifies. Don\u2019t delay applying for advance assurance either as it can take months to receive from this, although HMRC are committing to reducing the time it takes to process advance assurance requests over the coming year.<\/p>\n<h2><em><b>Is SEIS the right option for me?<\/b><\/em><\/h2>\n<p><strong>Genevieve Moore<\/strong>: You need to have a clear idea of how\u00a0much of your company you\u2019re giving away for the investment, and what\u00a0rights the\u00a0incoming\u00a0shareholders\u00a0will\u00a0have. If you end up with 10 investors each with a\u00a05%\u00a0stake in your company, that\u2019s\u00a050% of your company you\u2019ve given away.\u00a0 You need to think about how you will manage this, and whether you are comfortable giving up your control. It\u2019s also important to remember that the company has to remain a qualifying company for at least three years after the investment has been made or the investors will lose their tax relief. This requires ongoing monitoring.<\/p>\n<blockquote class=\"wp-embedded-content\" data-secret=\"f7Ws6ltWTY\"><p><a href=\"https:\/\/www.legalgeek.co\/conference\/\">Legal Geek Conference<\/a><\/p><\/blockquote>\n<p><iframe class=\"wp-embedded-content\" sandbox=\"allow-scripts\" security=\"restricted\" style=\"position: absolute; clip: rect(1px, 1px, 1px, 1px);\" title=\"&#8220;Legal Geek Conference&#8221; &#8212; Legal Geek\" src=\"https:\/\/www.legalgeek.co\/conference\/embed\/#?secret=A94bf9tgwb#?secret=f7Ws6ltWTY\" data-secret=\"f7Ws6ltWTY\" width=\"500\" height=\"282\" frameborder=\"0\" marginwidth=\"0\" marginheight=\"0\" scrolling=\"no\"><\/iframe><\/p>\n<h2><em><b>What vital information do potential investors need to know?<\/b><\/em><\/h2>\n<div><strong>Tom Wilson<\/strong>: That SEIS is a scheme which rewards the earliest and riskiest form of financing through generous tax relief. If, for example, an individual invested \u00a310,000 in an SEIS eligible investment they would get income tax relief of \u00a35,000 (50%). Thus, the net cost of the investment to them can be thought of as \u00a35,000. They need to hold the shares for three years and when it comes to selling they won\u2019t pay capital gains tax on the gain. Finally, if the company fails (sorry to raise the idea) and the investor loses all of their investment, they can reduce their taxable income by the loss.<\/div>\n<h2><em><strong>Got it. What\u2019s my next step?<\/strong><\/em><\/h2>\n<p><strong>Jamie Whitcroft:<\/strong> When you decide to submit an advanced assurance application form I recommend submitting your advanced\u00a0assurance application as soon as possible as there is typically an 8 week delay at HMRC given the popularity\u00a0of the scheme.\u00a0Also, if you are raising both SEIS and EIS (Enterprise Investment Scheme) money in one funding round (which will typically be the case where you want to raise more than the \u00a3150k SEIS limit) be careful to ensure that the SEIS element closes at least one day before the EIS allocation. This is to ensure that the company doesn&#8217;t breach the total gross assets test when raising SEIS (a company can&#8217;t have more than \u00a3200k in gross assets when raising SEIS).<\/p>\n<p><strong>Genevieve Moore<\/strong>: I would always recommend seeking professional advice when considering raising money through SEIS in order to understand if it really is right for you.<br \/>\n<a name=\"profiles\"><\/a><br \/>\n<strong>Tom Wilson<\/strong>: The <a href=\"https:\/\/www.gov.uk\/guidance\/venture-capital-schemes-apply-for-advance-assurance\" target=\"_blank\" rel=\"noopener\">application form for advance assurance<\/a> can be found on HMRC\u2019s website. But do remember that advance assurance doesn\u2019t 100% guarantee that a company will qualify for SEIS.<\/p>\n<p><span style=\"text-decoration: underline;\">Our law-gends:<\/span><\/p>\n<p><img decoding=\"async\" class=\" wp-image-22276 alignleft\" src=\"https:\/\/www.legalgeek.co\/wp-content\/uploads\/2018\/01\/Taxman.png\" alt=\"\" width=\"64\" height=\"60\" \/><\/p>\n<p><strong>The Taxman<\/strong>: One of two certainties in all our lives.
